1. Introduction and Acceptance of Terms
1.1. Welcome to AMPLIFI (operated by Amplifi and its affiliates, collectively referred to as "Amplifi", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our digital platform, websites (including media.amplifi.inc, ads.amplifi.inc, pub.amplifi.inc), mobile applications, streaming services, e-commerce stores, and related tools (collectively, the "Services").
1.2. By accessing, registering for, or using the Services, or by making a purchase via our payment gateway partner (PayFast), you agree to be legally bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or legal entity, you represent that you have the authority to bind that entity.
2. User Accounts & Registration
2.1. To access certain features (such as channel subscriptions, content creation, or advertising booking), you must register for an account using our Single Sign-On (SSO) or authorized authentication methods.
2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Amplifi immediately of any unauthorized use or security breach.
2.3. Users must be at least 18 years of age or have valid parental/legal guardian consent to use paid features on the platform.
3. Subscriptions, Purchases & Payments (PayFast Integration)
3.1. Pricing & Currency: All fees, subscriptions, and merchandise prices are quoted in South African Rands (ZAR) and are inclusive of Value-Added Tax (VAT) unless explicitly stated otherwise.
3.2. Payment Processing: We use PayFast as our primary and default secure payment gateway for processing consumer checkouts, recurring subscriptions, and e-commerce store transactions. By submitting payment information, you authorize PayFast and Amplifi to charge your nominated debit/credit card or payment method for all applicable fees.
3.3. Recurring Subscriptions: Platform and channel subscriptions renew automatically on a recurring monthly or annual basis unless cancelled prior to the renewal date in accordance with our Refund and Cancellation Policy.
4. Creator, Subscriber & Merchant Roles
4.1. Creators & Channel Owners: Creators may host, publish, and monetize content (video, audio/podcasts, written articles) on Amplifi. Creators retain ownership of their Customer Data and first-party audience insights within the Customer Data Platform (CDP), subject to platform licensing terms.
4.2. Subscribers & Viewers: Users may subscribe to the platform broadly or to specific creator/brand channels to unlock exclusive content, perks, or an ad-free viewing/listening experience.
4.3. Merchants & E-Commerce Store: Purchases made through the Amplifi merchandise and digital store are subject to product availability, fulfillment terms, and specific merchant rules.
5. Intellectual Property Rights
5.1. Amplifi IP: All rights, title, and interest in and to the Services, platform architecture, software, trademarks, and Amplifi Data are and shall remain the exclusive property of Amplifi.
5.2. User Content: You retain all ownership rights in the Customer Data and content you upload to the platform. By uploading content, you grant Amplifi a worldwide, royalty-free, non-exclusive license to host, copy, transmit, display, and distribute your content solely to operate and administer the Services.
6. Acceptable Use Policy
You agree not to use the Services to:
a) Violate any applicable local, national, or international law, including South African data privacy laws (POPIA).
b) Upload or transmit viruses, malicious code, spam, or unsolicited promotional materials.
c) Scrape, probe, penetrate, reverse engineer, or derive the source code of the platform or its APIs.
d) Store unauthorized sensitive data (such as raw credit card numbers) outside designated secure payment fields.
7. Privacy & Data Protection (POPIA)
We process personal information in strict accordance with the Protection of Personal Information Act, 4 of 2013 (POPIA) and our published Privacy Statement. By using the Services, you consent to such processing.
8. Limitation of Liability & Disclaimers
8.1. The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
8.2. To the maximum extent permitted by South African law, Amplifi’s total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Amplifi in the 12-month period immediately preceding the event giving rise to the claim.
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the South Gauteng High Court, Johannesburg.
